Cerecor Increases Previously Announced Bought Deal of Common Stock to $10 Million
ROCKVILLE, MARYLAND / ACCESSWIRE / March 6, 2019 / Cerecor Inc. (NASDAQ: CERC), a biopharmaceutical company focused on becoming a leader in development and commercialization of treatments for rare and orphan diseases in pediatrics and neurology, announced today that, due to demand, the underwriter has agreed to increase the size of the previously announced offering and purchase on a firm commitment basis 1,818,182 shares of common stock of the Company, at a price to the public of $5.50 per share (the "Public Price"). The closing of the offering is expected to occur on or about March 8, 2019, subject to customary closing conditions.
H.C. Wainwright & Co. is acting as the sole book-running manager for the offering.
The Company also has granted to the underwriter a 45-day option to purchase up to an additional 272,727 shares of common stock at the Public Price. The gross proceeds to Cerecor, before deducting underwriting discounts and commissions and estimated offering expenses and assuming no exercise of the option to purchase additional shares of common stock, are expected to be approximately $10 million. Cerecor intends to use the net proceeds of the offering for general corporate purposes and working capital, primarily to support the development of its neurology and pediatric rare disease pipeline.
