At June 30, 2024, the following common stock warrants were outstanding:
(1) The warrants will become exercisable (i) on March 28, 2024, if exercised for shares of Series C Preferred Stock, or (ii) upon receipt of the Required Stockholder Approval (the date Company stockholders approve the issuance of common stock for conversion of Series C Preferred Stock and for exercise of warrants), if exercised for shares of common stock. The warrants will expire on the earlier of (y) the fifth anniversary of the date of issuance or (z) the thirty-first day following the Dosing Date, provided that if the Required Stockholder Approval has not been received by the Dosing Date, then the warrants will expire on the earlier of the (A) the fifth anniversary of the date of issuance or (B) thirty-first day following receipt of the Required Stockholder Approval. The warrants include anti-dilution protection provisions.
